These Terms of Use (“Terms”) govern your access to and use of Cheetah (“Cheetah”, “we”, “our”, or “us”), including our website, software, integrations, APIs, dashboards, templates, reports, and related services (collectively, the “Services”).
By accessing or using the Services, you (“User”, “you”, or “your”) agree to be bound by these Terms.
If you do not agree to these Terms, please do not use the Services.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are using Cheetah on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.
2. Description of Services
Cheetah provides strategic finance automation tools, including but not limited to:
- Financial reporting automation
- Xero integrations, data syncing, and transformation
- Custom report development
- Consultancy services
- Dashboards, templates, formulas, and internal workflows
We may update, improve, modify, or discontinue parts of the Services at any time.
3. Account Registration
To access certain features, you may need to create an account. You agree to:
- Provide accurate and complete information;
- Maintain the confidentiality of your login credentials;
- Accept responsibility for all activities under your account.
We may suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to:
- Use the Services for unlawful, fraudulent, or harmful purposes;
- Copy, reverse-engineer, modify, or attempt to extract source code from the Services;
- Interfere with or disrupt security features, servers, or networks;
- Mine data or scrape the platform without written permission;
- Misuse API keys, tokens, integrations, or automation features;
- Upload malicious code such as viruses, worms, or scripts.
We may investigate violations and take appropriate action, including suspension or legal recourse.
5. Customer Data
“Customer Data” refers to accounting data, financial records, files, templates, and other information you upload or connect (e.g., via Xero or Google Sheets). You retain full ownership of Customer Data.
By using the Services, you grant Cheetah a limited licence to process, transform, analyse, and store Customer Data solely for the purposes of providing the Services.
You represent that you have all necessary rights and permissions to provide Customer Data to Cheetah.
6. Data Privacy
Cheetah processes personal data in accordance with the Singapore Personal Data Protection Act (PDPA).
Our Privacy Policy explains how we collect, use, disclose, and protect personal data. By using the Services, you consent to the practices described in the Privacy Policy.
7. Intellectual Property
All rights to the Services—including software, templates, algorithms, designs, tools, workflows, and documentation—are owned by Cheetah or our licensors.
Except for a limited, non-transferable licence to use the Services, no rights are granted to you.
You may not reproduce, distribute, or create derivative works without written consent.
8. Fees, Billing, and Payments
Some features of the Services may require payment.
You agree to:
- Pay all applicable fees;
- Ensure valid billing information is provided;
- Accept charges for custom reports, consultation hours, and multi-entity work where applicable.
All fees are non-refundable unless required by law.
We may suspend or restrict access for overdue invoices.
9. Third-Party Integrations
Cheetah integrates with third-party systems (e.g., Xero, Google Sheets, Gmail, PostHog).
We are not responsible for:
- Data inaccuracies originating from third-party sources;
- Failures, outages, or delays caused by third-party providers;
- Changes in third-party APIs or pricing.
Your use of third-party services is subject to their respective terms.
10. Consultancy and Professional Judgement
Any custom reporting, financial modelling, or advisory work produced by Cheetah is based on the inputs, assumptions, and specifications you provide.
Cheetah does not provide statutory accounting, auditing, or regulated financial advisory services.
You remain solely responsible for:
- Compliance with accounting standards;
- Accuracy of financial statements;
- Regulatory and tax obligations;
- Decisions made based on outputs from the Services.
11. Confidentiality
Cheetah will maintain appropriate safeguards to protect confidential information.
You agree to keep confidential:
- System designs, templates, proprietary workflows, and internal documentation;
- Non-public pricing, product plans, and consultancy methods.
This obligation survives termination.
12. Service Availability
We strive to maintain reliable uptime but do not guarantee uninterrupted access.
Scheduled and unscheduled downtime may occur for maintenance, updates, or events outside our control.
13. Disclaimers
To the fullest extent permitted by Singapore law:
- The Services are provided on an “as is” and “as available” basis.
- We do not guarantee that the Services will meet your requirements, be error-free, or produce specific outcomes.
- We are not liable for financial or business decisions made based on outputs generated by Cheetah.
14. Limitation of Liability
To the maximum extent permitted by law, Cheetah shall not be liable for:
- Indirect, incidental, or consequential damages;
- Loss of profits, revenue, data, or business opportunities;
- Errors in third-party systems or data feeds;
- Delays or failures outside our reasonable control.
Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold Cheetah harmless from any claims, losses, liabilities, or expenses arising from:
- Your breach of these Terms;
- Misuse of the Services;
- Inaccurate or unauthorised submission of Customer Data.
16. Suspension and Termination
We may suspend or terminate your access if you:
- Breach these Terms;
- Misuse the Services;
- Fail to pay fees;
- Engage in activities that threaten security or stability.
Upon termination:
- Your access to the platform ends;
- We may delete Customer Data after a reasonable period unless prohibited by law.
17. Governing Law
These Terms are governed by and interpreted in accordance with the laws of Singapore.
Any disputes shall be resolved exclusively in the courts of Singapore.
18. Changes to Terms
We may update these Terms periodically.
If changes are material, we will notify you via email, in-app messages, or our website.
Continued use of the Services constitutes acceptance of the updated Terms.
